o Materials to be submitted for the registration of the name of enterprises:
1. A pre-examined application for the enterprise name signed by all investors; 2. A certificate for the authorized representative or entrusted agent signed by all investors; 3. The identity certificate of the trustee; 4. Qualification certificates of all the investors; 5. Other documents required by the industry & commerce administrative authorities.
o Materials to be submitted for the registration of foreign-funded enterprises:
1. An application for the registration of foreign-funded enterprise; 2. A notice of approval for the registration of enterprise names and the name registration form; 3. Copies of ratification instruments and ratification certificates issued by the approval authority; 4. Contracts and by-laws (with the seal of the Foreign Investments Bureau on the perforation); 5. The feasibility study report; 6. Official certificates to start business and identification certificates of the investor (valid copies of the business license, commercial registration certificate, permit for operation, ID cards, etc.); 7. Investor's financial standing certificate issued by the bank (Chinese investors shall submit an auditor's report); 8. Documents concerning the assignment of the Board directors and valid copies of their identity certificates; 9. Use right certificate of houses (copies of housing property title certificates and other documents that can prove the ownership of houses, or in case of leasing, a lease agreement with a minimum 1-year tenancy); 10. Chinese versions of materials in foreign languages; 11. Other documents and certificates as required by the law and regulations.
o Materials to be submitted for any change in the registration of foreign-funded enterprises
1. An application for change signed by the chairman of the Board; 2. A report on application for change in registration; 3. Resolution of the Board (if there is not the Board, an application signed by the executive Board director and a copy of the original by-laws shall be submitted); 4. Copies of ratification instrument and certificates issued by the approving authorities (excluding the change of the chairman of the Board, the enterprise name, and housing); (1) In case of change in housing, the use right certificate shall be submitted (including the valid copies of property right certificates, lease agreement of a minimum 1-year tenancy); (2) In case of change in registered capital, the revised contract and by-laws shall be submitted. In case of reduction in registered capital, relevant certificates for two public notices in the newspaper and a special auditor's report shall be submitted; (3) In case of change in enterprise category, the revised contract and revised by-laws shall be submitted; (4) In case of change in the Chairman of the Board or the Board director, valid copies of assignment and identity certificate of the individual shall be submitted; (5) In case of transference of stock right, valid copies of the transference agreement, revised contract and by-laws, and official certificates to start business of the transferee, identity certificates of individuals, financial standing certificates (and a recent auditor's report for the Chinese party involved) shall be submitted. If there is any involvement of state-owned assets, relevant authorities' confirmation of the state-owned assets shall be submitted; (6) In case of change in business scope, the revised contract and by-laws shall be submitted. For those that are under the category for special ratification, other relevant instruments shall be required; (7) In case of prolonging the operation period, the revised contract and by-laws shall be submitted; (8) In case of establishing branches, copies of a CPA's verification report on capital funds, power of attorney for the director of the branch, his/her curriculum vitae, and the identity certificate shall be submitted; (9) In case of loss of the business license, an application for re-issuance, a written letter of self-criticism on the loss, the resolution of the Board, and other certificates for two public notices in the newspaper of the loss shall be submitted; (10) In case the registered capital arrives or partially arrives, the original of the latest CPA's verification report on capital funds shall be submitted; (11) In case of change in the enterprise name, a registration form for enterprise name and pre-approving notice of the name shall be submitted. 5. Other relevant documents and certificates as required by the law and regulations.
o Materials to be submitted for the registration of branches (offices) of foreign-funded enterprises
1. Registration application of the branches (offices) of foreign-funded enterprises; 2. An approval notice issued by the former registration authorities; 3. Resolution of the affiliated Board of the enterprise (enterprises without the Board shall submit an application signed by the executive Board director and a copy of the original by-laws); 4. A copy of the duplicate of the business license of the affiliated enterprise (with seal of the former registration authorities); 5. A CPA's verification report on capital funds of the affiliated enterprise (exemptible for the newly-established offices); 6. Use right certificates for the business site and abode (including copies of property right certificate or other documents testifying ownership of the abode. In case of any lease, a lease agreement of a minimum 1-year tenancy shall be furnished); 7. Other relevant documents and certificates as required by the law and regulations.
o Materials to be submitted for the registration of resident representative offices:
1. Documents of examination and certificate of approval issued by the approval authorities; 2. A cover note and a declaration form of the consulting institution; 3. A copy of the business license of the enterprise; 4. The original financial standing certificate for the enterprise issued by the related bank (in the case of the establishment of a financial representative office, balance sheets and income statements of 3 consecutive years, the by-laws, and the list of the Board directors are required); 5. The power of attorney for the chief representative and other representatives; 6. Copies of the passports and identity certificates of the representatives and their curriculum vitae; 7. Use right certificates of the abode (including the copies of property right certificate or other documents testifying ownership of the abode. In case of any lease, a lease agreement of a minimum 1-year tenancy shall be furnished); 8. Employment documents of the employees; 9. A registration application, a registration form of the personnel for the resident office, and a registration form of the employees; 10. Two 2-inch photos of the chief representative and other representatives, and two 1-inch photos of the employees; 11. Chinese versions of the materials in foreign languages; 12. Other relevant documents and certificates as required by the law and regulations. Notes: (1) All the forms shall be filled in ink; (2) Original copies shall be furnished for the above-mentioned materials (excluding those specified). The photocopies should be exactly the same as shown in the original copies and bear signatures and seals thereof. (3) According to some relevant requirements, all the materials to be submitted shall be prepared on A4 sheets.
o Fees for business licenses:
1. The registration fee is charge at 0.8¡ë of the part of registered capital below RMB 10 million and 0.4¡ë of the part of the registered capital above RMB 10 million. No fee shall be charged for the part of the registered capital above RMB 100 million; 2. RMB 100 for the registration of the enterprise name; 3. RMB 1000 for the publication of the start of business of the legal body; 4. The legal representative of the newly-registered enterprise shall come in person to obtain the business license and sign.
